Tammy (Lo) Spellacy specializes in complex commercial contracts and general business transactions.
Ms. Spellacy regularly leads international and domestic corporate transactions, including handling complex commercial contract drafting and negotiation, including, but not limited to, non-disclosure, supply chain, product development, marketing/sponsorship, purchase/sale and services agreement, advising on business entity structures and developing business strategies to meet clients’ evolving business needs and goals. Ms. Spellacy frequently serves as outside general counsel for clients, including assisting with financings, overseeing corporate governance matters, handling ownership sale and transfers and resolving contractual disputes.
In addition to her general business, Ms. Spellacy regularly assists and guides clients through mergers and acquisition and commercial real estate sale and purchase deals, from initial contract negotiation to the due diligence process and finally, through closing. She also frequently represents landlords and tenants in commercial lease negotiations, as well as assist with real estate joint venture formations.
Prior to joining Carney Badley Spellman, Ms. Spellacy practiced in Palo Alto and Newport Beach, California. She is a graduate of the J.D./M.B.A. program at Santa Clara University School of Law, where she served as an editor of the Santa Clara Law Review and also as President of Phi Delta Phi and the Asian Pacific American Law Students Association. She is an active member of CREW and TAP-Seattle.
Ms. Spellacy was born in Taipei, Taiwan and is fluent in Mandarin Chinese.
